Valor Node Terms and Conditions

Welcome to Valor Node, a service provided by Valor Holdings LLC (“Company”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your use of our website, services, and products (“Services”). By accessing or using any part of our Services, you agree to be bound by these Terms.

If you do not agree to all the terms and conditions herein, you may not access or use any Services.

1. Services Provided

Valor Node offers web hosting, VPS hosting, domain registration, email services, and related solutions. The Services are provided on an “as is” and “as available” basis, subject to these Terms.

Additional Note: Valor Node reserves the right to modify, suspend, or discontinue any Service at any time without prior notice. This includes, but is not limited to, pricing, features, or availability.

2. Account Registration

To use our Services, you must:

• Be at least 18 years old unless accessing with adult/guardian supervision.

• Provide accurate and complete information.

• Keep your login credentials secure.

You are responsible for all activities under your account, including actions taken by anyone you authorize to use your account.

3. Payments and Billing

• All Services are prepaid unless otherwise stated.

• Recurring services are billed automatically unless canceled in advance.

• Invoices must be paid by the due date to avoid suspension.

• We reserve the right to modify pricing with or without notice.

Additional Note: Unauthorized chargebacks are strictly prohibited. Any client who initiates a chargeback may incur a $50 fee per incident and may be subject to legal action.

4. Refund Policy

Refunds may be provided in accordance with our Refund Policy. Certain products, such as domain names and dedicated servers, may not be eligible for a refund once provisioned.

Additional Note: Valor Node does not provide refunds under normal circumstances. Refunds are only issued in extreme cases explicitly approved by our Executive Team. Requests for refunds do not guarantee approval.

5. Acceptable Use

You agree not to use our Services for:

• Illegal activities, including copyright infringement.

• Sending spam or unsolicited bulk email.

• Hosting malicious content, phishing, or malware.

• Resource abuse that negatively affects other clients.

Violation of these rules may result in suspension or termination without notice.

Additional Note: Clients are strictly prohibited from attempting to exploit, hack, or otherwise compromise Valor Node systems. Any detected abuse may result in service termination without refund and potential legal action.

6. Uptime and Availability

Valor Node strives to maintain 99.9% uptime. However, we do not guarantee uninterrupted access and are not liable for downtime due to maintenance, outages, or circumstances beyond our control.

Additional Note: Valor Node is not responsible for any lost revenue, opportunities, or data resulting from service interruptions.

7. Data Backup

While we may offer backup services, you are solely responsible for backing up your data. Valor Node is not liable for lost, corrupted, or unrecoverable data, except where explicitly stated on our website.

8. Termination

We may suspend or terminate your account:

• For violations of these Terms.

• Upon request by law enforcement or other authorities.

• For nonpayment or fraud.

You may cancel your account at any time through our client portal.

Additional Note: Termination does not relieve you of outstanding payments or legal obligations.

9. Limitation of Liability

To the fullest extent permitted by law:

• Valor Node shall not be liable for indirect, incidental, or consequential damages.

• Total liability shall not exceed the amount paid by you for the Services during the 3 months prior to the incident.

Additional Note: This limitation applies to all services, including but not limited to colocation, VPS, web hosting, email, and domain services.

10. Indemnification

You agree to indemnify and hold harmless Valor Holdings LLC, its officers, employees, and affiliates from any claims, losses, or damages arising out of your use of the Services.

Additional Note: This includes claims from third parties arising from illegal use, unauthorized content, or violations of these Terms.

11. Changes to Terms

We may revise these Terms at any time by posting the updated version on our website. Continued use of the Services after changes are posted constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to conflict of law principles.

13. Legal Fees and Expenses

The Client agrees to be fully responsible for and shall reimburse Valor Holdings LLC for any and all legal expenses incurred in connection with any legal action, claim, arbitration, or proceeding arising out of or relating to this Agreement or the services provided, regardless of whether such action is initiated by the Client or Valor Holdings LLC, and regardless of the outcome.

Such expenses include, but are not limited to, attorney fees, court costs, arbitration fees, expert witness fees, and any other related legal costs. This obligation shall survive the termination, expiration, or cancellation of this Agreement.

Additional Note: Any charges incurred from unauthorized chargebacks or abuse may also be billed to the client under this provision.

14. Security and Client Responsibility

Clients are responsible for securing their accounts, data, and systems. Valor Node is not liable for unauthorized access due to weak passwords, stolen credentials, or client misconfiguration.

15. Automated Payments

Clients using recurring services may authorize Valor Node to automatically charge invoices via their chosen payment method. Failure to maintain valid payment methods may result in service suspension.
